Syndicate Asset Management plc ('SAM') on its purchase of Insight Investment Management (CI) Limited from its parent company. Collas Day provided offshore legal advice to SAM and Memery Crystal advised on UK law.
SAM has acquired Insight (CI) to deepen its offshore fund management base and increase funds under management, as part of a strategy to provide a full spectrum of fund management services. It is the eighth acquisition in less than two years.

Landsbanki Islands HF on the purchase of the entire issued share capital of Cheshire Guernsey Limited from Cheshire Building Society. Collas Day undertook legal due diligence on Cheshire Guernsey, and advised on the negotiation of the share purchase agreement.
Cheshire Guernsey is licensed as a bank by the Guernsey Financial Services Commission, and hence it was necessary to ensure that Landsbanki were cognisant of the relevant Guernsey regulatory requirements.

The shareholders of R. W. Randall Limited, a well-known Guernsey company which has been brewing beer, operating pubs and hotels and supplying a range of outlets in the Channel Islands, since 1868.
Randalls owns 18 pubs, hotels and restaurants in Guernsey and the prominent Vauxlaurens Brewery in St Peter Port.
The shareholders sold their shares in Randalls to The Guernsey Pub Company Limited, which was formed by a consortium of private investors specifically for the purposes of the acquisition.

Punch Taverns plc on an all-cash acquisition of Spirit Group. Punch's GBP2.7 billion bid won on the back of its certainty of funding and the promised speed of completion. The deal created the UK's largest group of pubs and bars.

Indago Petroleum Limited, a Guernsey company, on its listing on AIM. The company raised $120 million from the listing. Collas Day supported the company and the company's English advisers, White & Case in order to prepare it for listing. Indago Petroleum, through its wholly owned subsidiaries, is a focused oil and gas exploration and production company. It has participating interests in, and is the operator of, six petroleum exploration and production concessions located in Oman and Ras AI Khaimah, UAE. These participating interests include Block 8, Oman, which contains the producing Bukha gas-condensate field and West Bukha, an approved gas-condensate development. Both fields are located off the Musandam Peninsula in Omani waters. The company is an active explorer and is planning to drill five onshore exploration wells targeting gas-condensate prior to the second quarter of 2007..

Both companies are strategic investment companies that aim for long term capital growth through their purchase, holding and sale of minority stakes in other companies and investment funds.
