Acted for MVP Asset Management (USA) LLC in the establishment of MVP Fund Range PCC Limited as a Class B authorised open-ended collective investment scheme. The strategy of the first three cells (the MVP Premium US Dollar Fund, the MVP Premium Euro Fund and the MVP Premium Sterling Fund) is to achieve capital appreciation through focused investments in life settlement related funds. MVP has a previous fund established in the British Virgin Islands. This is MVP's first fund established in Guernsey.

Migration of BVI Fund (Confidential)

Migration of fund domiciled in the British Virgin Islands to Guernsey as a Class B open-ended authorised fund. The fund invests in commodities and commodity related equities. The migration has been undertaken to meet the requirements of key investors the fund manager has targeted for growth.

Close Fund Services Limited

Acted for Close Fund Services Limited in connection with the transfer of administration and custodial services of six class B funds. Matter involved extensive negotiation of the terms of the service provider agreements to protect Close's interests.

Global Vision International Property Fund II

Acted as legal adviser on the establishment and listing on the Official List of the Channel Islands Stock Exchange of Global Vision International Property Fund II, a cell of Lanesborough. Lanesborough is registered in Mauritius and will invest in property in Italy, U.S.A. and Eastern Europe.

IPES / private equity funds

Acted in conjunction with IPES for various private equity firms advising in relation to transitional matters affecting existing private equity funds arising out of recent amendments to the POI Law.

The Vinum Fund PCC Limited

Acting as both legal adviser and (through Collas Day Corporate Finance Limited) Sponsor of The Vinum Fund PCC Limited, a specialist investment vehicle focusing on rare and fine wine. One initial cell of the Protected Cell Company, the Bordeaux Cell, has been created with an investment objective of medium to long-term capital appreciation with an emphasis on the classified wines of the Bordeaux region of France. Shares in the Bordeaux Cell were listed on the Channel Islands Stock Exchange in May 2007.

Close Fund Services Limited

Acted for Close Fund Services Limited in its capacity as trustee/custodian of an incorporated cell company structure in connection with a complex transaction concerning the proposed transfer of both assets and members from one incorporated cell to another. Our role was to advise Close as to its roles and responsibilities as custodian and ensure compliance with the same.

Bridgewater (IOM) Limited

Acted as legal adviser and listings sponsor of the following funds promoted by Bridgewater including:

• EEA Selected Opportunities Investments
• Interalia Optimisation Returns Fund PLC
• EEA Futures Fund Limited.

Role also includes ongoing advice and ad-hoc issues such as amendments to offerings documents, listing of further share classes and continuing obligations under the CISX rules

Trident Fund Services (Guernsey) Limited

Advised Trident Fund Services (Guernsey) Limited, on the establishment and authorisation of Global Offshore PCC Limited, an open-ended fund incorporated as a protected cell company and authorised by the Guernsey Financial Services Commission as a class B collective investment scheme. Collas Day Corporate Finance Limited also acts as listing sponsor in respect of the listing of the shares in the first two cells, The Hurdle Fund and The Hurdle Feeder GBP, on the Channel Islands Stock Exchange

European Stafford Fund, American Stafford Fund and the Stafford Global Equity Fund

European Stafford Fund, an open-ended fund of funds, which is denominated in Euros and structured as a Guernsey unit trust. It has sought authorisation to be marketed in Switzerland. Collas Day has also advised on the establishment of the American Stafford Fund (denominated in US dollars) and the Stafford Global Equity Fund for the same promoter.
